1. Agreement
By creating an account or using Cadence (the “Service”), you agree to these terms. The Service is provided by DarkMatter Creative Communications (“we”, “us”). If you are using Cadence on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.
2. The service
Cadence is a time-tracking platform comprising a web application at cadencetime.co and native desktop applications for macOS and Windows. The desktop application records foreground application usage and window titles to generate activity summaries. No screenshots, keystrokes, or file contents are captured.
3. Accounts and access
- You must provide accurate information when creating an account.
- You are responsible for maintaining the security of your account credentials.
- Each organisation has an owner and optional administrators. Owners and administrators manage membership and roles. Billing and subscription management are controlled by the owner only.
- We may suspend or terminate accounts that violate these terms or that have been inactive for more than 12 months.
4. Your data
You retain ownership of all data you submit to Cadence. We do not claim any intellectual property rights over your content. We use your data solely to provide and improve the Service as described in our Privacy Policy.
You can export your time-tracking data at any time using the built-in CSV and XLSX export features. If you delete your account, we will remove your personal data within 30 days.
5. Billing and payment
- Cadence is offered at R170 per user per month, or R1,800 per user per year (R150 per user per month effective, saving roughly 12%). Prices are in South African Rand (ZAR) and include VAT. Subscriptions are managed in the Cadence desktop app.
- Payment is processed by Paystack. We do not store your card details.
- We may offer promotional codes that reduce or waive fees for a period. Promotional terms are stated at the time of redemption.
- We may change pricing with 30 days' written notice. Existing subscriptions continue at their current rate until the end of the billing period in which notice is given.
- Refunds are handled on a case-by-case basis. Contact us if you believe a charge was made in error.
6. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose.
- Attempt to access another organisation's data.
- Interfere with or disrupt the Service, including by submitting malicious code, excessive automated requests, or denial-of-service attacks.
- Resell access to the Service without our written consent.
- Reverse-engineer the Service beyond what is permitted by applicable law.
7. Availability and support
We aim to keep Cadence available and reliable, but we do not guarantee uninterrupted service. We may perform maintenance that temporarily affects availability. We will give reasonable notice of planned downtime where possible.
8. Intellectual property
The Cadence name, logo, and software are the property of DarkMatter Creative Communications. These terms do not grant you any rights to our trademarks or branding. Your right to use the Service is limited to the licence granted by these terms.
9. Limitation of liability
To the maximum extent permitted by South African law, our total liability for any claim arising from or related to the Service is limited to the amount you paid us in the 12 months before the claim arose. We are not liable for indirect, incidental, or consequential damages, including loss of data or lost profits.
10. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, or expenses arising from your use of the Service or your breach of these terms.
11. Changes to these terms
We may update these terms from time to time. If we make material changes, we will notify you by email or through the Service at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes acceptance of the updated terms.
12. Governing law
These terms are governed by the laws of the Republic of South Africa. Any disputes will be resolved in the courts of the Western Cape, South Africa.
